By creating an account, depositing funds or placing any order on Paylo Trade ("we", "us", the "Platform"), you agree to these Terms and our Privacy Notice. If you do not agree, do not use the Platform. We may update these Terms at any time; continued use after an update constitutes acceptance.
You must be at least 18 years old (or the age of majority where you live) and legally permitted to trade securities and crypto assets in your jurisdiction. You are responsible for compliance with your local laws.
We perform identity verification (KYC), anti-money-laundering (AML) and sanctions screening. We may request additional documents at any time and may delay, restrict, suspend or close your account, or refuse any deposit, withdrawal or order, if verification is incomplete or we suspect fraud, money laundering, sanctions exposure or misuse.
All market data, news, analysis and content, including output from the Atlas AI agent, is provided for information only and is not investment, legal or tax advice or a recommendation to buy or sell any asset. Atlas only proposes trades; it acts only when you approve. By approving any trade, you accept sole responsibility for that decision and its outcome.
Trading stocks, ETFs and crypto assets involves substantial risk, including the loss of all money invested. Crypto assets are highly volatile and are not protected by deposit insurance or investor protection schemes. Past performance does not guarantee future results. Market prices shown may be delayed. Market orders execute at the prevailing price, which may differ from the price displayed.
Orders are final once submitted and executed and cannot be cancelled, reversed or refunded. Live orders are routed to our partner broker-dealer; Test mode uses simulated funds and has no monetary value. We are not liable for losses caused by market movements, exchange halts, connectivity issues, third-party outages or delays in execution.
The Platform is operated by Magenta AI Lab, Inc (the "Company"). For users resident outside the United States, the Company will register a US business entity on your behalf and submit and execute your trades through that business entity, on your instruction and held for your benefit, because US brokers generally do not accept individual accounts from your country. To set this up and to enable trading on your behalf, the Company will request identity, verification and authorisation documents from you through your dashboard, and you agree to complete and return them promptly.
Before live trading on your behalf, you must complete and sign, as requested: (a) a Limited Power of Attorney authorising the Company to complete account-opening, registration and related paperwork and to submit orders you instruct; (b) a Trading Authorization Agreement; (c) IRS Form W-8BEN (or W-9 for US persons); (d) a Beneficial Ownership and Source of Funds Declaration; (e) for business accounts, a US Entity Formation Authorization and beneficial ownership information required by US law; and (f) identity and proof-of-address documents. The Company acts only on your instructions and never trades at its own discretion.
All such arrangements are subject to identity, sanctions and eligibility review. The Company will not open accounts or form entities for sanctioned persons, residents of comprehensively sanctioned jurisdictions, or to evade any law or restriction applicable to you, and may refuse or revoke any arrangement at its discretion. Entity formation, registered-agent and filing fees are payable by you. You do not need to wait for this process to fund your account: you may add funds immediately after registering, and your balance is held safely while verification and entity registration are completed. Documents you submit are retained as records of your account as described in our Privacy Notice.
You agree to pay all applicable fees, including trading fees, regulatory fees (such as SEC and FINRA fees), crypto trading fees, payment processing fees, currency conversion costs and subscription fees for optional services such as Atlas. Fees are displayed before you confirm a transaction or listed in your Statements, are deducted from your account balance and are non-refundable. Amounts owed may be collected from future deposits.
You may only fund your account using payment methods held in your own name. Third-party payments are prohibited and may be returned at your cost. Deposits are credited only once received and confirmed. Funds deposited and used to purchase assets are deemed consumed in exchange for those assets and are not refundable to the original payment method.
Withdrawals are paid only to a verified account in your name and may be subject to holding periods, verification and fees.
You agree not to initiate a chargeback, reversal or payment dispute for any deposit that was credited to your account, including where the funds were used for trading that resulted in a loss. Trading losses are not a valid ground for a chargeback.
If you initiate a chargeback or reversal, we may immediately freeze your account, cancel pending orders, and liquidate any positions at market price to recover the disputed amount; the resulting negative balance, plus a chargeback handling fee of USD 50 per dispute and any fees charged to us by payment processors, banks or card networks, becomes a debt immediately due by you.
You authorise us to set off any amounts owed against any balance or future deposit, to provide transaction records, IP logs, identity documents and your acceptance of these Terms as evidence to dispute the chargeback, and to refer unpaid debts to collection agencies and report fraudulent chargebacks to relevant authorities and fraud-prevention databases. We may permanently close accounts involved in unwarranted chargebacks.
If your account balance becomes negative for any reason, including fees, reversals or chargebacks, you must immediately repay the full amount. We may recover it from any account you hold with us.
You may not use the Platform for market manipulation, fraud, money laundering, terrorist financing, sanctions evasion, using another person's identity or payment details, operating multiple accounts, or abusing promotions. We may report suspicious activity to authorities without notice to you.
To the maximum extent permitted by law, the Platform is provided "as is" and we are not liable for any indirect, incidental or consequential loss, lost profits or trading losses. Our total liability to you shall not exceed the fees you paid to us in the 12 months preceding the claim.
You agree to indemnify us and our partners against any losses, costs, fees (including legal fees and chargeback costs) and claims arising from your breach of these Terms, your misuse of the Platform or any payment dispute you initiate.
We may suspend or terminate your access at any time for breach of these Terms or legal or regulatory reasons. On termination, any balance remaining after deduction of amounts owed will be returned to a verified account in your name, subject to applicable law.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Disputes shall be resolved by binding individual arbitration; you waive participation in class actions to the extent permitted by law.
